These Terms of Service ("Terms") are a binding agreement between you and Reyder Enterprises, Inc. ("Reyder", "we", "us"). They apply when you use our website at www.reyderenterprises.com, Reyder Bids at bid.reyderenterprises.com, our WhatsApp accounts or any other channel, and whenever you ask us for a quote, bid in our auctions or buy from us. By using our services, creating an account, bidding or placing an order, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use our services.

1. Business customers only
Our services are for businesses. By using them you confirm that you are at least 18 years old, that you are acting for a business and not as a consumer buying for personal, family or household use, and that you have authority to bind that business. In these Terms, "you" means you and that business. You are responsible for everything done through your accounts and by your employees and agents.
2. Using our website and channels
- Information on our website, in our posts and ads, in our messages and from our automated assistant is general information. It is not an offer and may change without notice. Inventory, prices and availability are confirmed only in a written quote or invoice from our team or on a Reyder Bids lot page.
- Our automated WhatsApp assistant can answer questions, but nothing it says is an offer, a price quote, a commitment or a representation, and it cannot bind Reyder.
- You must not misuse our services. That includes: giving false or misleading information; impersonating anyone; using bots, scrapers or other automated means without our written permission; interfering with our systems, security or other users; and using our services for anything unlawful.
- Our websites, content, trademarks (including "Reyder" and "Reyder Bids"), photos, videos and manifests belong to Reyder or our licensors. You may use them only to evaluate and buy from us, and to describe to your own customers devices you bought from us. You may not use them to offer our inventory as your own or for any other purpose without our written permission.
- If you send us ideas or feedback, we may use them without any obligation to you.
3. Accounts
- We may approve, refuse, limit, suspend or close any account at our discretion, including for non-payment, suspected fraud or a breach of these Terms.
- You must give us accurate, current and complete information, including your tax ID, RNC or resale documents, and keep it up to date. We may verify it and ask for more.
- Keep your sign-in details confidential. You are responsible for all activity under your account and must tell us immediately if you suspect unauthorized use.
4. Quotes, orders and prices
- Prices are in U.S. dollars and do not include taxes, duties, shipping, insurance or bank fees unless stated.
- A quote is valid for the period it states or, if none, until the inventory is sold or we withdraw it. An order becomes binding when we confirm it in writing (including by sending an invoice) or when you win a Reyder Bids auction.
- We may correct errors in prices, descriptions, quantities or availability, even after an order is confirmed. If a correction is material, you may cancel the affected items and receive a refund of what you paid for them; that is your only remedy.
- We may limit quantities and refuse or cancel any order, for example because of suspected fraud, export restrictions or unpaid balances.
5. Reyder Bids auctions
These additional terms apply to Reyder Bids. The auction rules, lot pages and summaries shown on Reyder Bids are part of these Terms; if they conflict with these Terms, these Terms control unless the lot page is more specific.
- Bidding access. An account lets you view lots. Bidding requires our approval of your business. We may set and change limits on your total active bids and purchases, for example for new buyers.
- Bids are binding. Every bid, including a maximum bid, is a binding offer to buy the lot at the bid amount, up to your maximum. The system bids for you in increments up to your maximum. You may not withdraw a bid unless we allow it. If you win, you must buy the lot.
- Timing. An auction may be extended when bids are placed near the close. Our system's record of bids and times is final, except for errors we correct.
- Our rights. We may set reserve prices; withdraw or change lots before they close; reject or cancel any bid; extend, pause, cancel or re-run an auction; and correct a result, for example because of a technical problem, a listing error, an inventory problem or suspected fraud or collusion.
- Units we cannot deliver. If a unit in a lot you won is missing, damaged before shipment or was listed by mistake, our only obligation is to remove it from your invoice or refund what you paid for it.
- No buyer premium. Unless a lot page says otherwise, we do not add a buyer premium. Your invoice is the winning bid plus any taxes, shipping and other charges stated on the lot page or invoice.
- Fair bidding. You must not collude with other bidders, bid for an undisclosed third party without our consent, use more than one account to get around limits, or otherwise manipulate an auction. We may cancel affected bids and sales and close the accounts involved.
- Payment and non-payment. Payment is due within 3 business days after the invoice unless we agree otherwise in writing. If you do not pay on time, we may cancel the sale, re-auction or sell the lot to someone else, reduce your limits, suspend or close your account, and recover our losses from you, including any shortfall between your winning bid and the price we later obtain, plus our collection costs.
- Condition information. Every lot shows its grade, its condition basis (Reyder QC verified or Supplier AS-IS), its manifest, photos and any videos. Review them before you bid. Supplier AS-IS lots are sold exactly as described in the manifest and the supplier's intake claims, with no representation from Reyder about function, battery, carrier status, iCloud or MDM locks, or any other condition.
6. Payment, title and risk of loss
- Unless your invoice or a written agreement with us says otherwise, payment is due in full in U.S. dollars, by wire transfer or another method we accept, before goods ship or are picked up. You pay all bank and transfer fees.
- We may charge interest on late amounts at 1.5% per month or the highest rate the law allows, whichever is lower, plus reasonable collection costs and attorneys' fees. We may hold goods and set off amounts you owe us against amounts we owe you.
- Title to goods passes to you when we receive full payment.
- Unless we agree otherwise in writing, we sell Ex Works (EXW, Incoterms® 2020) our facility in Apopka, Florida. Risk of loss passes to you when goods leave our facility, even if we arrange or prepay shipping for you.
7. Shipping, export and compliance
- Shipping dates are estimates. We are not responsible for delays caused by carriers, freight forwarders or customs. Shipping is charged as stated on your quote, invoice or lot page.
- You are the importer of record. You are responsible for import duties, taxes, permits and compliance with the laws of the destination country.
- Export controls and sanctions. You must comply with U.S. export control and sanctions laws, including the Export Administration Regulations and the rules of the Office of Foreign Assets Control (OFAC). You must not export, re-export or transfer any device to an embargoed country or region, to a restricted or sanctioned person, or for a prohibited use. You confirm that you are not on any U.S. government restricted-party list. We may refuse or cancel orders to comply with these laws.
- Tax exemption. If you claim an exemption from sales tax, for example with a resale certificate, you confirm that it is valid and that you are buying for resale. If it is not valid, you will pay any tax, interest and penalties that result.
- You are responsible for complying with the laws that apply to reselling used devices in your markets, including consumer protection, electronic waste and battery rules.
8. Inspection, claims and returns
- Inspect goods when you receive them. Unless your invoice or the lot page states a different period, you must report any claim that goods are not as described (a short shipment, the wrong model, or a condition that does not match the grade or manifest) within 48 hours after delivery or pickup, with the IMEIs involved and photos or videos that support the claim. Claims not made in time are waived and the goods are accepted.
- We review claims against the manifest, photos, videos, IMEI records and delivery evidence. If we accept a claim, we will, at our option, replace the unit, issue a credit or refund the price of the affected units, after you return them as we instruct. This is your only remedy for goods that are not as described.
- Returned units must match our IMEI records and be in the same condition as when delivered. We do not accept returns because you changed your mind, or of units that were repaired, altered, damaged after delivery, or had parts or IMEIs changed.
- Supplier AS-IS lots and Grade D units are not eligible for condition claims. The only claim we accept for them is that a unit does not match the manifest, for example the wrong model or IMEI.
- All other sales are final. We do not offer consumer returns.
9. Data on devices
Devices we sell are used and may have had previous owners. Unless a lot page or invoice says otherwise, we do not guarantee that a device is free of a previous user's data, accounts or locks. You must securely erase every device before you use, resell or dispose of it, and you must not access, copy, use or disclose any personal data you find on a device.
10. Disclaimer of warranties
11. Limitation of liability
12. Indemnity
You will defend, indemnify and hold harmless Reyder and its owners, officers, employees and agents against all claims, losses, damages, fines, costs and expenses (including reasonable attorneys' fees) arising from: your use or resale of goods; your breach of these Terms or of any law, including export, sanctions, tax and consumer protection laws; information you give us; and any access to or use of data on a device by you or your customers.
13. Communications and electronic records
- By giving us your phone number, WhatsApp number or email address, you agree that we may contact you there about your inquiries, account, bids, orders and invoices, including through our automated WhatsApp assistant, and, where the law allows, about inventory and auctions. You can opt out of marketing messages at any time. Your carrier's message and data rates may apply.
- We keep records of our conversations, bids and orders, and they may be used as evidence of our agreements.
- You agree that electronic communications, clicks, bids and records satisfy any legal requirement for a writing or signature.
14. Governing law, venue and jury waiver
These Terms and every sale between us are governed by the laws of the State of Florida and applicable U.S. federal law, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Any dispute arising out of or relating to these Terms, our services or any goods must be brought only in the state or federal courts located in Orange County, Florida, and you consent to the personal jurisdiction of those courts. We may also bring an action to collect amounts you owe in any court that has jurisdiction over you. In any action to enforce these Terms or collect amounts owed, the prevailing party may recover its reasonable attorneys' fees and costs.
15. Events beyond our control
We are not liable for any delay or failure caused by events beyond our reasonable control, including hurricanes and other natural disasters, epidemics, war, government action, labor disputes, carrier or customs delays, supplier failures, power or internet outages, and cyberattacks.
16. Changes and general terms
- Changes. We may update these Terms by posting a new version on this page with a new date. Changes apply to use, bids and orders after the update; they do not change a bid already placed or an order already confirmed.
- Suspension and termination. We may suspend or end your access to our services at any time. Sections that by their nature should continue (including payment, claims, warranties, liability, indemnity and governing law) survive.
- Entire agreement and order of precedence. These Terms, together with our written quotes, invoices, Reyder Bids lot pages and our Privacy Policy, are the entire agreement between us on their subject. If they conflict, a written agreement signed by both of us controls first, then the invoice, then the lot page or quote, then these Terms. Terms in your purchase orders or other documents do not apply, even if we accept your order.
- Assignment. You may not transfer your rights or obligations under these Terms without our written consent. We may transfer ours.
- Other terms. If any part of these Terms cannot be enforced, the rest remains in effect. If we do not enforce a right, we do not waive it. We are independent contractors, and nothing in these Terms creates a partnership, agency or employment relationship.
- Notices. We may send you notices at the email address or WhatsApp number on your account. Send notices to us at the contact details below.
- Language. These Terms are published in English and Spanish. If the versions differ, the English version controls.
